Terms of service

1. Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you and Build My Moment LLC, a Missouri limited liability company ("Build My Moment," "we," "us," or "our"), and govern your access to and use of the website at https://buildmymoment.com and any related products, features, content, applications, and services offered by us (collectively, the "Service"). By creating an account, booking a vendor, listing services, or otherwise using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract under the laws of the State of Missouri to use the Service. By registering, you represent that the information you provide is true, complete, and current, and you agree to keep your account information up to date. You are responsible for maintaining the confidentiality of your credentials and for any activity that occurs under your account. Notify us promptly at buildmymoment@gmail.com if you suspect unauthorized access. We may refuse, suspend, or terminate accounts at our discretion where necessary to protect users, comply with law, or enforce these Terms.
3. The marketplace
Build My Moment is an online marketplace that connects event planners ("Planners") with independent service providers ("Vendors") for events held in Kansas City, St. Louis, Columbia, Springfield, and Jefferson City, Missouri. We do not employ Vendors, do not perform services, and are not a party to the agreement between a Planner and a Vendor. We facilitate introductions, bookings, deposits, and communications, but the underlying contract for services is solely between the Planner and the Vendor.
4. Vendor obligations
By listing on Build My Moment, a Vendor represents and warrants that it (a) is legally authorized to operate its business in Missouri and within each city it serves, (b) holds all licenses, permits, and insurance required for its category, (c) will deliver booked services with reasonable skill and care, (d) will keep its profile, pricing, and availability accurate, (e) will respond to Planner inquiries within 24 hours during business days, and (f) will comply with all applicable laws, including consumer protection, tax, and anti-discrimination laws. Vendors are independent contractors of their Planner clients and are not employees, agents, partners, or joint venturers of Build My Moment.
5. Planner obligations
By booking a Vendor through the Service, a Planner agrees to (a) provide accurate event details, (b) pay the required deposit at the time of booking, (c) pay the remaining balance directly to the Vendor at the event, (d) communicate any changes to event timing, location, or scope as soon as practicable, and (e) treat Vendors and their staff with respect. Planners acknowledge that Vendors operate independently and that quality, performance, and conduct are the responsibility of the Vendor.
6. Payments, deposits, and booking fee
All payments on the Service are processed by PayPal. When a Planner confirms a booking, Build My Moment collects a 50% deposit of the agreed package price via PayPal. From that deposit, Build My Moment retains a flat booking fee of $25 per booking, which is non-refundable. The remainder of the deposit is forwarded to the Vendor through the PayPal Payouts API on a regular schedule. The outstanding 50% balance is paid by the Planner directly to the Vendor at the time of the event. Build My Moment does not collect commissions on the balance and does not handle the balance payment. All amounts are denominated in United States dollars and recorded internally in cents.
Vendors who choose the Pro listing pay $10 per month, with the first month free. Subscription charges are billed through PayPal in advance and renew automatically until canceled.
7. Cancellations and refunds
Cancellation outcomes depend on the Vendor's posted policy, applicable timing, and the cause of the cancellation. The full set of rules is described in our Refund Policy, which is incorporated into these Terms by reference. The $25 booking fee retained by Build My Moment is non-refundable except where the Vendor cancels the booking, in which case the booking fee is waived and the Planner receives a full refund of the deposit through PayPal.
8. Reviews, content, and license
You retain ownership of the content you submit to the Service, including reviews, photos, package descriptions, and messages ("User Content"). By submitting User Content, you grant Build My Moment a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, copy, reproduce, modify, display, distribute, and otherwise use the User Content to operate, promote, and improve the Service. You represent that you own or have all rights necessary to grant this license and that your User Content does not infringe the rights of any third party.
Reviews must reflect a good-faith account of a real, completed booking. Fake, paid, retaliatory, or solicited reviews are prohibited and may be removed at our discretion.
9. Intellectual property
The Service, including its design, code, brand, logos, copy, and organization, is owned by Build My Moment LLC and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted to use the Service in accordance with these Terms, nothing transfers any ownership interest in our intellectual property to you.
10. Prohibited uses
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Post content that is defamatory, obscene, hateful, threatening, or that violates the rights of others.
- Impersonate any person or business or misrepresent your affiliation.
- Circumvent platform payments or solicit users to transact off-platform to avoid the booking fee.
- Interfere with or disrupt the Service, including by introducing malware, scraping, or unauthorized access.
- Use the Service to harvest personal data of other users.
- Reverse engineer, decompile, or attempt to derive the source code of any part of the Service.
11. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Build My Moment disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any Vendor will perform as described. Build My Moment is not an insurer, employer of Vendors, or guarantor of outcomes; we plan to offer access to discounted partner insurance rates but do not provide insurance directly.
12. Limitation of liability
To the maximum extent permitted by law, Build My Moment LLC and its officers, members, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the fees actually paid by you to Build My Moment in the twelve months preceding the event giving rise to the claim or (b) one hundred United States dollars ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Build My Moment LLC, its affiliates, and their respective officers, members, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of or access to the Service, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) your performance or non-performance of services as a Vendor.
14. Governing law and disputes
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state or federal courts located in Cole County, Missouri, and you consent to the personal jurisdiction of those courts. Before filing any formal claim, you agree to first contact us at buildmymoment@gmail.com and attempt informal resolution in good faith for at least thirty (30) days.
15. Termination
You may close your account at any time by emailing buildmymoment@gmail.com. We may suspend or terminate your access for any breach of these Terms, repeated cancellations, fraudulent activity, or abusive behavior. On termination, the provisions of these Terms that by their nature should survive (including sections on payments owed, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
16. Modifications
We may revise these Terms from time to time. When we make material changes, we will update the effective date above and provide reasonable notice through the Service or by email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
